1. About these Terms

These Terms of Service (the “Terms”) govern your use of the Stratos Portal at portal.stratosagency.ai (the “Portal”), operated by Stratos House AI Inc., a British Columbia corporation (BC1590751, Business Number 779978576) with a registered office at 807-27 Alexander St, Vancouver, BC V6A 1B2, Canada (“Stratos”, “we”, or “us”).

These Terms cover operational access to the Portal. Your underlying contractual relationship with us for engagement work is set out in your separate Statement of Work (“SOW”) or Master Services Agreement (“MSA”). In the event of conflict between these Terms and your SOW or MSA, the SOW or MSA governs.

2. Eligibility

The Portal is invite-only. You may use it only if you have been invited by Stratos as a Client, Admin, or other designated user. You must be at least 18 years of age. Where you act on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Account responsibility

You are responsible for keeping your sign-in credentials confidential and for any activity carried out under your account. If you believe your account has been accessed without your authorization, notify us promptly at arshia@stratosagency.ai so we can help you secure it.

You agree to provide accurate account information and to keep your email address current so we can reach you about the engagement and about security events.

4. Acceptable use

You agree not to:

  • Attempt unauthorized access to the Portal or to any data you have not been granted access to.
  • Reverse engineer, decompile, or disassemble the Portal or its underlying components.
  • Scrape, crawl, copy, or harvest data programmatically without our prior written permission.
  • Upload malware, illegal content, or content you do not have the right to upload.
  • Use the Portal for any unlawful purpose or in violation of any third-party right.
  • Impersonate any person or misrepresent your affiliation with any person or organization.
  • Probe, scan, or test the Portal for vulnerabilities outside an agreed disclosure program.

5. Content ownership

Any content you upload to the Portal remains yours. You retain all rights, title, and interest in it.

You grant Stratos a limited, non-exclusive, royalty-free license to host, store, process, and display that content solely for the purposes of operating the Portal and delivering the services described in your SOW or MSA. This license ends when the content is removed or when our relationship ends, subject to the retention periods in our Privacy Policy.

Stratos retains all rights to the Portal itself, including the source code, brand, design tokens, internal tooling, and any improvements to the platform. Custom deliverables produced for you under an SOW transfer to you on full payment, except as otherwise stated in the SOW.

6. Service availability

We work to provide high uptime but we do not guarantee uninterrupted or error-free access. We may perform scheduled maintenance with reasonable advance notice and may need to perform emergency maintenance without notice when required for security or stability. We are not responsible for interruptions caused by events outside our reasonable control (force majeure), including outages of third-party infrastructure, network failures, or natural events.

7. Third-party services

The Portal integrates with third-party services including Clerk (authentication), Stripe (payments), Firebase (storage and database), and Vercel (hosting and analytics). Your use of features that rely on those services is also governed by the terms and privacy policies of those providers. See our Privacy Policy at /privacy for the full list of sub-processors.

8. Termination

You may stop using the Portal at any time. We may suspend or terminate your access if you breach these Terms, if the underlying engagement ends, or if continued access poses a security, legal, or operational risk. Where reasonable, we will give you notice and a window to export your data before access is revoked.

Sections that by their nature should survive termination (content ownership, disclaimers, limitation of liability, indemnification, governing law) survive termination.

9. Disclaimer of warranties

The Portal is provided on an “as is” and “as available” basis, except as otherwise expressly provided in your SOW or MSA. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Portal will meet your requirements, operate without interruption, or be free of defects.

10. Limitation of liability

To the maximum extent permitted by applicable law, our total aggregate liability arising out of or related to these Terms or the Portal is capped at the total fees you have paid to us under your SOW or MSA in the twelve months preceding the event giving rise to the claim. We are not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost data, or business interruption, even if advised of the possibility of such damages.

Where your SOW or MSA contains its own liability cap or warranty disclaimer, that cap and disclaimer control with respect to the subject matter of the SOW or MSA. Nothing in these Terms limits liability that cannot lawfully be limited.

11. Indemnification

You agree to defend, indemnify, and hold harmless Stratos and its directors, officers, employees, and contractors from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) the content you upload to the Portal; (b) your misuse of the Portal; or (c) your breach of these Terms.

12. Privacy

Your use of the Portal is subject to our Privacy Policy, which is incorporated into these Terms by reference. See /privacy for details on what we collect, how we use it, and your rights under PIPEDA.

13. Governing law

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable in British Columbia, without regard to conflict-of-laws principles. You and Stratos agree to the exclusive jurisdiction of the courts located in Vancouver, British Columbia for any dispute that is not resolved by good-faith discussion.

14. Changes to these Terms

We may update these Terms as the Portal evolves. We will post any updates here with a new effective date. Material changes will be notified to active users by email at least 14 days before they take effect. Continued use of the Portal after a change takes effect means you accept the updated Terms.
